Brian Wilson is an associate within the Employee Benefits and Executive Compensation practice group at the Austin office. Renowned for his specialization in executive compensation and employee benefits law, Brian aids his clients in maintaining regulatory compliance, but also in fostering transparency and accountability within corporate governance frameworks.
Brian’s experience spans the comprehensive design, implementation, and administration of tax-qualified and non-qualified retirement plans, alongside health and welfare plans. He is also skilled in drafting and reviewing equity incentive plans, accompanied by his proficiency in SEC filings (including Form S-8, Form 9-K, and Form DEF14A), exemplify his comprehensive grasp of the intersections between corporate governance, securities regulations, and executive compensation.
Brian ensures his clients plans not only align with regulatory requirements but also meet Institutional Shareholder Services (ISS) approval guidelines, addressing critical issues such as deduction limitations under Code Section 162(m).
